Legal Manager

Job Overview

The Legal Manager will provide legal support to the Bangladesh Market on all matters arising in the market and factory. The role is responsible for proactively advising the business on legal matters affecting operations while supporting corporate and commercial objectives, ensuring compliance with applicable laws, and managing legal risks.

The position focuses on legal and regulatory matters related to products, commercial contracts, taxation, IT, employment law, competition law, dispute resolution, legal training, and supporting operational teams in developing commercial plans.

Key Responsibilities

• Advise Global Supply Chain, P&C, Finance, CA&C, Marketing and Sales, Leaf, and other business functions on tobacco and other relevant regulations.
• Advise on commercial law, contracts, and commercial matters across the organization.
• Review general commercial contracts, including trading, purchasing, supply, service, and distribution agreements.
• Advise on product and factory regulations, including leaf-related matters, and monitor relevant legal and regulatory developments.
• Inform the business of changes and impending changes in relevant laws and regulations.
• Advise on packaging and marketing activities.
• Advise on licensing applications and renewals.
• Advise on employment, data protection, consumer protection, competition, anti-corruption and bribery, and other relevant laws.
• Partner with CA&C on regulatory affairs, including government relations, advocacy, and corporate communications.
• Ensure compliance in stakeholder engagement and public affairs.
• Conduct corporate secretarial duties and advise on corporate governance matters.
• Manage litigation and disputes involving taxation, employment, contracts, and regulatory enforcement to defend the company's interests.
• Advise and assist in compliance matters, including supporting Business Ethics investigations.
• Assist the Legal team on business projects and initiatives for the South Asia Region, markets, and Global projects as required.
• Assist with corporate governance, leases, contracts, industrial relations, and labour matters.
• Conduct and manage legal training on topics such as Competition Law, Dawn Raid, Document Writing, Marketing Dos & Don'ts, and Global Economic Sanctions.
• Perform any other responsibilities assigned by the Legal Director from time to time.

Requirements

• Minimum LL.B. degree from a reputed university.
• At least 10 years of post-qualification experience.
• Must have at least lower court enrollment in Bangladesh; High Court enrollment is preferred.
• Excellent verbal and written communication skills in English and Bengali.
• Ability to understand the tobacco business, its strategies, people, and organizational structures.
• Experience in drafting and reviewing general commercial contracts.
• Awareness of legal and commercial risks and the ability to establish appropriate means of managing such risks in line with business objectives.
• Ability to interact confidently with members of the organization at different levels.
• Team player with a solution-oriented approach, willingness to learn, and passion for an in-house legal career.
• Ability to travel both inside and outside the country.
