Legal Manager

Job Overview

The Legal Manager will provide legal support to the Bangladesh Market on all matters arising in the market and factory. The role is responsible for proactively advising the Business on legal matters affecting the business, with the aim of achieving corporate and commercial objectives while ensuring compliance with the law and appropriate management of legal risk.

The objectives of this position include addressing potential legal and regulatory issues related to products, commercial contracts, taxation, IT, employment law, and competition law; dispute resolution; ensuring local teams' training on relevant legal matters; and supporting operational teams in developing their commercial plans.

Key Responsibilities

• Advise the business, including Global Supply Chain, P&C, Finance, CA&C, Marketing and Sales, and Leaf, on tobacco and other regulations and communicate legal issues in a timely and appropriate manner.
• Advise on commercial law, including contracts and commercial issues across company departments.
• Review general commercial contracts, including trading, purchasing, supply, service, and distribution agreements.
• Advise the business on product and/or factory, including leaf-related, regulations.
• Review developments and legislation on relevant legal and regulatory matters and inform the company of changes and impending changes.
• Advise on packaging and marketing activities.
• Advise on licensing applications and renewals.
• Advise the business on employment, data protection, consumer protection, competition, anti-corruption and bribery, and other relevant laws to ensure compliance.
• Partner with CA&C on regulatory affairs, including government relations, advocacy, and corporate communications, while ensuring compliance in stakeholder engagement and public affairs.
• Conduct corporate secretarial duties and advise on corporate governance-related issues.
• Manage litigation and disputes relating to taxation, employment, contracts, and regulatory enforcement in defending the company’s interests.
• Advise and assist in compliance matters, including supporting Business Ethics in investigations.

Other Responsibilities

• Assist the Legal team on business projects or initiatives for the South Asia Region and markets, as well as global projects whenever required.
• Assist in matters including corporate governance, leases, contracts, industrial relations, and labor matters.
• Conduct conferences and related activities.
• Conduct and manage training on legal topics such as Competition Law, Dawn Raid, Document Writing, Marketing Dos & Don'ts, and Global Economic Sanctions from time to time.
• Perform any other responsibilities assigned by the Legal Director from time to time.

Requirements

• Minimum LL.B degree from a reputed university.
• Minimum 10 years of post-qualification experience.
• At least lower court enrollment in Bangladesh is required.
• High Court enrollment is preferred.
• Excellent communication skills in English and Bengali, both verbal and written.
• Ability to understand the tobacco business, its strategies, people, and organizational structures.
• Experience in drafting and reviewing general commercial contracts.
• Awareness of legal and commercial risks and the ability to establish means for managing such risks consistent with business objectives.
• Ability to interact confidently with members of the organization at different levels.
• Team player, solution-oriented, keen learner, with a passion for an in-house legal career.
• Ability to travel both inside and outside the country.
